Please read these Terms of Service ("Terms") carefully before using the services operated by AutoRecyclingMarketers Inc. ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and AutoRecyclingMarketers Inc. By creating an account, using our SaaS platform (Quote Engine, AI Voice Agent, SMS Follow-Up), or engaging our marketing services, you represent that you:

AutoRecyclingMarketers provides two categories of services:

To use our SaaS products, you must create an account. You are responsible for:
One account is issued per business. Sub-accounts for team members may be available depending on your plan.
SaaS products are offered on a subscription basis, billed monthly or annually as selected at signup. Prices are as listed on our Pricing page at the time of subscription and may be updated with 30 days' notice.
The free plan for the Quote Engine provides limited features as described on our pricing page. Free plan users may be subject to usage caps. We reserve the right to modify or discontinue the free plan with 30 days' notice.
Plans with "unlimited" features are subject to fair use. Usage substantially exceeding the norm for comparable businesses may result in account review. We will contact you before taking any action.
We target 99.5% monthly uptime for the Quote Engine API. Scheduled maintenance windows will be communicated 24 hours in advance. We are not liable for downtime caused by factors outside our control, including third-party service failures or force majeure events.
Agency services (SEO, PPC, GBP management, web design) are governed by individual Service Agreements or Statements of Work (SOW) signed between you and AutoRecyclingMarketers. In the event of conflict, the Service Agreement takes precedence over these Terms.
We do not guarantee specific results from marketing services, including but not limited to: specific search rankings, number of leads generated, or revenue generated. Marketing results depend on factors outside our control including market competition, Google algorithm changes, and your business's ability to convert leads. We provide best-effort professional management.
For PPC management, advertising spend is billed directly to your Google Ads account. Our management fee covers strategy, setup, and ongoing optimization — it does not include ad spend. You maintain ownership and control of your ad account at all times.

The AutoRecyclingMarketers website, brand, software, algorithms, and documentation are our proprietary property. These Terms do not grant you any right to use our trademarks, logos, or other brand elements.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use our SaaS products for your internal business purposes during the subscription term.
You retain ownership of content you submit to our services, including lead data, vehicle information, and business details. By submitting content, you grant us a limited license to use it solely to provide the services to you.
For agency services (website design, content), upon full payment, you own the creative deliverables. We retain ownership of underlying tools, frameworks, and methodologies used in delivery.
Lead data generated through your Quote Engine widget belongs to you. We process this data as a data processor under your instruction. We will:
You are responsible for ensuring that your use of our tools to collect vehicle owner information complies with applicable privacy laws, including providing appropriate notice to car sellers who submit their information.
All subscription fees are charged in USD unless otherwise specified. Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis.
If a payment fails, we will retry and notify you. Accounts with failed payments may be suspended after 7 days' notice.
You may cancel your SaaS subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
Agency service agreements are month-to-month and may be cancelled with 30 days' written notice unless otherwise specified in the Service Agreement.
We may terminate or suspend your account immediately, without prior notice, if you:
Upon termination, your right to use our services ceases immediately. You may request export of your data within 30 days of termination. After 30 days, we may permanently delete your data in accordance with our Privacy Policy.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTORECYCLINGMARKETERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 CAD.
You agree to defend, indemnify, and hold harmless AutoRecyclingMarketers and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of applicable laws; or (d) any content you submit to our services.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules. Arbitration shall take place in Toronto, Ontario. This does not prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction.
We may update these Terms from time to time. Material changes will be communicated by email to registered users and/or by posting a notice on our website, at least 30 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
